CONDIZIONI COMMERCIALI GENERALI DI PROTIQ MARKETPLACE


Benvenuti su PROTIQ Marketplace. PROTIQ Marketplace è una piattaforma digitale per prodotti in stampa e in stampa 3D standardizzati o personalizzati. Tramite PROTIQ Marketplace i clienti possono far realizzare prodotti in stampa e in stampa 3D da PROTIQ o da uno dei fornitori del Marketplace e incaricare PROTIQ della fornitura di servizi connessi (ad es. formattazione CAD, dati CAD/verifiche di compatibilità). Attraverso PROTIQ Marketplace i fornitori possono realizzare prodotti in stampa e in stampa 3D per i clienti. 


È per noi estremamente importante che sia i clienti che i fornitori siano a conoscenza delle condizioni in subordine alle quali è possibile utilizzare PROTIQ Marketplace. Per questa ragione abbiamo suddiviso in sezioni, nell’ambito delle presenti condizioni commerciali generali per PROTIQ Marketplace (“CCG”), le regole che si applicano, all’interno di PROTIQ Marketplace, in relazione all’utilizzo da parte di utenti, clienti e fornitori di PROTIQ Marketplace (I. DISPOSIZIONI GENERALI), le regole speciali applicabili ai soli clienti (II. DISPOSIZIONI SPECIALI PER I CLIENTI) e infine quelle applicabili ai soli fornitori (III. DISPOSIZIONI SPECIALI PER i fornitori). 



I. DISPOSIZIONI GENERALI


1. Ambito di applicazione

1.1. PROTIQ Marketplace è gestito da PROTIQ GmbH, Flachsmarktstraße 54, 32825 Blomberg, Germania (“PROTIQ”).


1.2. Le presenti condizioni commerciali generali (“CCG”) disciplinano l’utilizzo di PROTIQ Marketplace da parte di utenti, clienti e fornitori (I. Disposizioni generali). Le presenti CCG disciplinano inoltre le relazioni contrattuali tra i clienti e PROTIQ (II. Disposizioni speciali per i clienti) e tra i fornitori e PROTIQ (III. Disposizioni speciali per i fornitori). In questo quadro le CCG si applicano a titolo esclusivo. Non potranno trovare alcuna applicazione eventuali altre CCG diverse o in contrasto con le presenti CCG, anche qualora PROTIQ non manifesti espressamente la propria opposizione in merito.


1.3. Le presenti CCG non disciplinano tuttavia in particolare in nessun caso le relazioni contrattuali tra i clienti e i fornitori. In questo contesto possono trovare applicazione le CCG del fornitore sulle quali PROTIQ non ha alcun potere di influire. 


2. Regole fondamentali di utilizzo  

2.1. PROTIQ predispone, a propria discrezione, PROTIQ Marketplace e le relative funzioni e fornisce le proprie prestazioni come di volta in volta descritto. È fatto tuttavia obbligo a utenti, clienti e fornitori stessi di rispettare i requisiti minimi tecnici (software) per l’utilizzo di PROTIQ Marketplace. 


2.2. Per quanto riguarda la gestione di PROTIQ Marketplace, PROTIQ fa riferimento alle disposizioni giuridiche rispettivamente applicabili e pretende lo stesso anche da parte di utenti, clienti e fornitori. Ogni utente, cliente e fornitore è sottoposto all’obbligo e alla responsabilità di rispettare le disposizioni giuridiche a esso stesso applicabili. Non è tuttavia segnatamente consentito a utenti, clienti e fornitori


(i) ledere i diritti di terzi (ad es. diritti di proprietà industriale, diritti di proprietà intellettuale o diritti della personalità),

(ii) operare condotte illecite, ingannevoli, maligne, discriminanti, pornografiche, sessiste, minacciose, ingiuriose, diffamatorie, oscene, diffamanti, eticamente censurabili, violente, moleste, inadatte ai minori, razziste, contrarie alla morale, sediziose, ostili agli stranieri o altrimenti esecrabili o riprovevoli, oppure

(iii) utilizzare virus, worm, trojan o altri codici dannosi che possano impedire o pregiudicare la funzionalità di PROTIQ Marketplace. In caso di violazioni delle presenti CCG o delle disposizioni giuridiche applicabili, PROTIQ potrà, a propria discrezione, in qualunque momento, senza preavviso e senza obbligo di fornire motivazioni, escludere utenti, clienti e fornitori a titolo temporaneo o definitivo e cancellare i rispettivi contenuti. 


2.3. Per quanto riguarda PROTIQ, le operazioni eseguite e gli eventuali contenuti trasmessi da utenti, clienti e fornitori


(i) verranno trattati in modo confidenziale,

(ii) non verranno inoltrati a terzi non autorizzati,

(iii) verranno utilizzati esclusivamente ai fini dell’esecuzione di eventuali contratti e, in particolare, non a fini di realizzazione di prodotti per terzi, e

(iv) non diverranno oggetto di diritti di proprietà industriale, e gli utenti, clienti e fornitori stessi si impegnano a non utilizzarli a loro volta a tal fine. 


Parimenti ogni utente, cliente e fornitore è sottoposto all’obbligo e alla responsabilità del rispetto di quanto sopra.


2.4. PROTIQ si adopera affinché PROTIQ Marketplace e le relative funzioni siano a disposizione senza problemi e in modo continuativo. Per ragioni tecniche, tuttavia, questo non è sempre possibile. Pertanto PROTIQ non offre alcuna garanzia di una fornitura totalmente priva di problemi o di una determinata disponibilità. In particolare si possono verificare limitazioni temporanee o permanenti, parziali o complete dell’accesso. Inoltre non è previsto alcun diritto di mantenimento duraturo di PROTIQ Marketplace o delle relative funzioni, che potranno in particolare essere adattate, modificate o interrotte in qualunque momento.


3. Diritti di proprietà intellettuale e diritti di proprietà industriale

3.1. PROTIQ è titolare dei diritti di proprietà intellettuale e dei diritti di proprietà industriale relativi ai propri prodotti e si riserva espressamente inoltre tutti i diritti (di utilizzo e di sfruttamento) di pertinenza dei propri prodotti. Non è in particolare consentito a utenti, clienti o fornitori di utilizzare o sfruttare detti prodotti al di fuori del loro utilizzo conforme come definito dalle presenti CCG, oppure di affermare su essi eventuali propri diritti di proprietà intellettuale o diritti di proprietà industriale, fatto salvo il caso in cui ciò non sia loro consentito ai sensi di una disposizione giuridica inalienabile. 


3.2. Qualora i fornitori stessi dovessero inserire in PROTIQ Marketplace contenuti potenzialmente oggetto di tutela (ad es. nell’ambito della predisposizione di prodotti propri), concedono al rispettivo partner contrattuale un diritto semplice e gratuito all’utilizzo del contenuto potenzialmente oggetto di tutela limitatamente all’esecuzione del contratto. Qualora necessario ai fini dell’esecuzione del contratto, il partner contrattuale potrà salvare, riprodurre, diffondere, rendere pubblicamente accessibili, trasmettere a terzi, elaborare o fornire l’hosting per tali contenuti. 


3.3. PROTIQ si impegna a trattare con riservatezza i file CAD del cliente caricati, a non renderli accessibili a terzi e a proteggerli da accessi non autorizzati con la medesima cura utilizzata per le proprie informazioni confidenziali. PROTIQ utilizzerà i file CAD del cliente esclusivamente ai fini previsti dal rispettivo contratto con il cliente medesimo e, in particolare, non li utilizzerà per la realizzazione di prodotti per clienti terzi. Non sono da considerarsi terzi ai sensi del presente obbligo di riservatezza i dipendenti, i subappaltatori, i consulenti e il personale ausiliario incaricato dei vari adempimenti di PROTIQ (e/o dei rispettivi subappaltatori), impiegati per la fornitura delle prestazioni o per le altre operazioni di esecuzione del contratto e soggetti a obbligo di segretezza professionale o sottoposti a obbligo contrattuale di riservatezza.

 

3.4. Gli utenti, i clienti e i fornitori sono rispettivamente responsabili di trovarsi nella condizione di avere titolo alla concessione dei diritti precedentemente descritti. In particolare non è fatto alcun obbligo a PROTIQ di verificare che l’utente, il cliente o il fornitore sia in possesso di detto titolo. In caso di infrazioni relative alla concessione di diritti di cui sopra, utenti, clienti e fornitori esonerano PROTIQ da tutte le eventuali legittime rivendicazioni da parte di terzi.


3.5. PROTIQ si riserva inoltre il diritto di adottare misure adeguate a propria difesa in presenza di dette rivendicazioni oltre al diritto di far valere, nei confronti di utenti, clienti o fornitori responsabili di infrazioni, il proprio diritto al risarcimento di eventuali danni e spese in misura commisurata. 


4. Protezione dei dati

4.1. Nel quadro dell’esecuzione del rispettivo contratto, PROTIQ elabora i dati personali del cliente e del fornitore o dei dipendenti di volta in volta incaricati dell’esecuzione del contratto stesso (ad es. nome, dati di contatto, altri dati personali necessari per l’esecuzione del contratto). Questi dati personali vengono in linea di principio trattati esclusivamente da PROTIQ. Tutti i dipendenti di PROTIQ sono sottoposti per iscritto a obbligo di riservatezza nel trattamento dei dati personali ed elaborano tali dati esclusivamente in conformità con quanto disposto dalla legislazione in materia di protezione dei dati.


4.2. In deroga al precedente punto è tuttavia consentito a PROTIQ, laddove necessario, trasmettere tali dati anche a terzi, quali ad esempio fornitori o altri erogatori di servizi, al fine di prestare i servizi contrattuali, ad esempio per operazioni legate all’esecuzione del contratto. In caso di trasmissione di dati personali a terzi, PROTIQ limiterà tali dati alle informazioni strettamente necessarie per la fornitura delle rispettive prestazioni. Il rispettivo soggetto terzo verrà sottoposto da parte di PROTIQ all’obbligo di utilizzare tali dati esclusivamente per la fornitura delle prestazioni richieste.


4.3. Nel quadro del rapporto commerciale o dell’avvio del rapporto commerciale, PROTIQ si riserva il diritto di raccogliere informazioni su un cliente. I risultati della raccolta di informazioni verranno trattati esclusivamente come disposto ai punti precedenti. 


4.4. Qualora il cliente o il fornitore ricevesse dati personali di PROTIQ o del fornitore, gli sarà fatto obbligo di osservanza delle disposizioni di legge in materia di protezione dei dati. I dati personali di cui il cliente o il fornitore viene a conoscenza devono essere trattati esclusivamente ai fini dell’esecuzione del rispettivo rapporto contrattuale e non possono essere trasmessi, ceduti o in altro modo resi disponibili a terzi per scopi diversi dai sopraccitati.


4.5. Per l’utilizzo di PROTIQ Marketplace si applicano, per il resto, le rispettive disposizioni in materia di protezione dei dati. 


5. Altre disposizioni

5.1. Tutte le dichiarazioni nell’ambito delle relazioni contrattuali a norma delle presenti CCG devono avvenire in forma testuale o scritta. 


5.2. In qualunque momento PROTIQ potrà trasmettere, del tutto o in parte, i propri diritti e obblighi derivanti da relazioni contrattuali ai sensi delle presenti CCG a un soggetto terzo adatto alla prosecuzione in modo adeguato. La trasmissione verrà comunicata ai clienti e ai fornitori entro e non oltre quattro settimane prima della sua entrata in vigore. In questo caso i clienti e i fornitori hanno la possibilità di rescindere la relazione contrattuale con l’entrata in vigore della trasmissione. 


5.3. PROTIQ si riserva il diritto di modificare in qualunque momento le presenti CCG, a meno che questo non comporti una variazione della struttura contrattuale nel complesso. È inoltre consentito a PROTIQ di adattare o integrare le presenti CCG, qualora ciò si riveli necessario al fine di eliminare impedimenti nell’esecuzione delle relazioni contrattuali o in conseguenza di lacune normative venute in essere. Le condizioni modificate verranno comunicate ai clienti e ai fornitori entro e non oltre quattro settimane prima della loro entrata in vigore. Le modifiche si considerano accettate qualora il cliente o il fornitore non si opponga alle medesime entro quattro settimane dalla ricezione della comunicazione relativa alle modifiche stesse. Nella comunicazione delle modifiche, PROTIQ farà chiaro riferimento alla possibilità di opposizione e al significato del termine di quattro settimane. Le modifiche si considerano rifiutate qualora il cliente o il fornitore eserciti il proprio diritto di opposizione. In questo caso continueranno ad applicarsi le CCG nella versione non modificata. Non viene in alcun modo condizionato il diritto di rescissione di un rapporto contrattuale.


5.4. In linea di principio le presenti CCG sono soggette al diritto della Repubblica Federale di Germania con l’esclusione della convenzione delle Nazioni Unite sui contratti di vendita internazionale (CISG), laddove invece, per quanto riguarda i consumatori, in caso di disposizioni cogenti in materia di diritto dei consumatori, possono risultare applicabili anche le norme di diritto in corso di validità sul territorio di residenza del consumatore medesimo.  


5.5. Nel caso il cliente o il fornitore risultasse essere un commerciante ai sensi della legge commerciale, una persona giuridica di diritto pubblico o un ente di diritto pubblico con patrimonio separato oppure nel caso non possieda un foro competente generale all’interno della Repubblica Federale di Germania o di un altro Stato membro dell’Unione europea, oppure qualora abbia spostato la propria sede o il proprio domicilio, dopo la stipula del contratto, al di fuori del territorio nazionale o ancora nel caso in cui la sua propria sede o domicilio non risulti nota al momento della presentazione del ricorso, per tutte le controversie in collegamento con i rapporti contrattuali il foro di riferimento sarà, a titolo esclusivo, quello competente per la sede commerciale di PROTIQ. Per quanto riguarda i consumatori il foro di riferimento è quello competente per il territorio di residenza del consumatore. 


5.6. Qualora singole disposizioni delle presenti CCG dovessero divenire parzialmente o completamente inefficaci, ciò non inciderà in alcun modo sull’efficacia delle rimanenti disposizioni. In luogo delle disposizioni inefficaci entreranno in vigore le disposizioni di legge rispettivamente applicabili. Qualora, in conseguenza di una lacuna normativa, non esistesse alcuna disposizione giuridica o qualora tale disposizione giuridica dovesse porre in essere condizioni di non sostenibilità, le parti procederanno alla negoziazione di un regolamento applicabile che si approssimi il più possibile allo scopo previsto.

 

5.7. Avvertenza sulle procedure di risoluzione delle controversie e sulla risoluzione online delle controversie: non siamo né disposti né obbligati a partecipare a procedure di risoluzione delle controversie innanzi a un ufficio di conciliazione a tutela dei consumatori. La Commissione europea mette tuttavia a disposizione una piattaforma per la risoluzione online delle controversie riguardanti i consumatori (piattaforma ODR) all’indirizzo http://ec.europa.eu/consumers/odr. II. DISPOSIZIONI SPECIALI PER I CLIENTI


1. Stipula del contratto

1.1. Le indicazioni relative ai prodotti su PROTIQ Marketplace non hanno carattere vincolante e non costituiscono un’offerta. 


1.2. Un’offerta è costituita esclusivamente dall’ordine del cliente. Per effettuare l’ordine il cliente deve creare un account cliente su PROTIQ Marketplace, selezionare un prodotto, eseguire i rispettivi passaggi per l’ordine e attivare il pulsante di ordine. Fino all’attivazione del pulsante di ordine il cliente ha la possibilità di modificare in qualunque momento la sua selezione e i dati inseriti. Una volta attivato il tasto di ordine, l’offerta del cliente nei confronti del rispettivo partner contrattuale indicato (PROTIQ o fornitore) assume un carattere vincolante. Qualora singoli prodotti pongano come prerequisito il possesso, da parte del cliente, di determinate caratteristiche, lo stesso avrà titolo alla presentazione di un’offerta all’esclusiva condizione di soddisfare detto prerequisito, la cui presenza dovrà poter attestare in qualunque momento, previa richiesta, al partner contrattuale rispettivamente indicato (PROTIQ o fornitore).


1.3. Dopo l’ordine il cliente riceve un’e-mail automatica da PROTIQ Marketplace, che conferma al cliente l’ordine. Questa panoramica automatica dell’ordine via e-mail non costituisce ancora accettazione dell’offerta del cliente, e non comporta la stipula di un contratto. 


1.4. La stipula del contratto avviene soltanto non appena il rispettivo partner contrattuale (PROTIQ o fornitore) dichiara al cliente, via e-mail (conferma di incarico o conferma di accettazione) o in altro modo (ad es. mediante consegna del prodotto), l’avvenuta accettazione.

 

1.5. Qualora il cliente stipuli un contratto con PROTIQ, l’accettazione può anche coincidere con l’e-mail di conferma dell’ordine. PROTIQ ha inoltre la possibilità di procedere, in entità commisurata, a consegne parziali o forniture parziali di servizi e si riserva inoltre il diritto di incaricare terzi (ad es. subappaltatori) dell’esecuzione, parziale o totale, del contratto. 

 

1.6. È fatto obbligo al cliente di fornire informazioni complete e veritiere, e di rispettare i propri obblighi conseguenti alla stipula del contratto. Inoltre garantisce di avere titolo alla stipula del rispettivo contratto e ad assumere il relativo obbligo di pagamento. Gli è inoltre fatto obbligo di non comunicare a terzi non autorizzati i dati di accesso al proprio account cliente e di proteggerli dall’accesso non autorizzato da parte di terzi in modo commisurato mediante l’utilizzo di soluzioni allo stato dell’arte della tecnica. 


2. Condizioni di pagamento e di consegna

2.1. Si applicano i prezzi rispettivamente indicati con l’aggiunta dei costi di spedizione e di consegna (con riserva di errori e di refusi). 


2.2. I prodotti possono solo essere spediti o consegnati. Non è possibile il ritiro di persona, fatto salvo quanto espressamente diversamente concordato. 


2.3. I pagamenti possono essere effettuati secondo le modalità di pagamento di volta in volta offerte, con la possibilità di esclusione, in casi singoli, di determinate modalità di pagamento (in caso di pagamento tramite PayPal il pagamento avviene immediatamente nell’ambito del processo di ordine in subordine alle disposizioni aggiuntive di PayPal; in caso di pagamento mediante carta di credito l’addebito sulla carta di credito indicata avviene al momento della stipula del contratto; in caso di pagamento mediante bonifico SEPA l’addebito avviene al momento della stipula del contratto sul conto indicato; in caso di pagamento contro fattura il pagamento deve essere effettuato come da disposizioni indicate sulla fattura, laddove per il pagamento contro fattura potrebbe essere eseguita una verifica di solvibilità; in caso di pagamento anticipato il pagamento deve essere effettuato al momento della stipula del contratto alle coordinate bancarie comunicate).

 

2.4. Qualora il cliente stipuli un contratto con PROTIQ, i pagamenti saranno considerati avvenuti non appena PROTIQ potrà disporre dell’importo di pagamento. Eventuali ulteriori costi che dovrà sostenere il cliente (ad es. allorché non risulti possibile incassare un pagamento) sono a carico dello stesso. Sono escluse compensazioni, fatto salvo il caso in cui la contropretesa risulti incontestabile o con valore giuridico. La proprietà dei prodotti rimane in capo a PROTIQ fino al completo pagamento.

 

2.5. È fatto obbligo al cliente di controllare il prodotto immediatamente dopo la sua consegna allo scopo di verificare l’eventuale presenza di evidenti difetti e di comunicarli, qualora presenti, al partner contrattuale rispettivamente indicato (PROTIQ o fornitore) entro 14 giorni.  


3. Diritto di recesso per i consumatori

Nel caso in cui il cliente sia un consumatore, gli è riconosciuto un diritto di recesso sulla base delle disposizioni seguenti. 


Istruzioni per il recesso

Diritto di recesso

È riconosciuto al cliente il diritto di recedere dal presente contratto entro quattordici giorni, senza l’obbligo di fornire alcuna motivazione.

Il termine di recesso è pari a quattordici giorni a decorrere dal giorno in cui il cliente o un soggetto terzo da esso incaricato, che non sia l’incaricato del trasporto, è entrato in possesso dei prodotti.

Per esercitare il proprio diritto di recesso, è necessario informare PROTIQ GmbH, Flachsmarktstraße 54, 32825 Blomberg, Germania, telefono: +49 (0)5235 34 38 00, fax: +49 (0)5235 34 41 154, e-mail: info@protiq.com, mediante una dichiarazione univoca (ad es. tramite lettera postale, fax o e-mail) in merito alla propria decisione di recedere dal presente contratto. A tal fine è possibile utilizzare il modulo di recesso allegato che non è tuttavia precompilato. 

Ai fini del rispetto del termine di recesso è sufficiente che la comunicazione relativa all’esercizio del diritto di recesso venga inviata prima della scadenza del termine in questione.


Conseguenze del recesso

Con il recesso dal presente contratto, PROTIQ dovrà provvedere a restituire al cliente tutti i pagamenti ricevuti, inclusi i costi di consegna (con l’esclusione dei costi accessori derivanti dalla scelta di una modalità di consegna diversa da quella standard economica offerta da PROTIQ), immediatamente e comunque entro e non oltre quattordici giorni a decorrere dal giorno di ricezione, da parte di PROTIQ, della comunicazione del cliente attestante il suo recesso dal presente contratto. Per provvedere al rimborso PROTIQ utilizzerà la medesima modalità di pagamento utilizzata dal cliente per la transazione originale, salvo diverso accordo esplicito con il cliente; in nessun caso verrà previsto un compenso per questo rimborso. PROTIQ può ritardare il rimborso fino alla ricezione degli articoli o fino a quando il cliente non produca una certificazione attestante l’avvenuta spedizione degli articoli, a seconda di quale condizione si verifichi prima. 

Il cliente dovrà spedire o consegnare gli articoli immediatamente e comunque entro e non oltre quattordici giorni a decorrere dal giorno in cui è stata informata PROTIQ in merito al recesso dal presente contratto. Il termine si considera rispettato se gli articoli vengono spediti prima della scadenza del termine di quattordici giorni.

I costi diretti per la restituzione degli articoli sono a carico del cliente. Il cliente dovrà rispondere di eventuali perdite di valore degli articoli esclusivamente nel caso in cui la perdita di valore sia riconducibile a un contatto da parte del cliente stesso con gli articoli non necessario per la verifica delle condizioni, delle caratteristiche e del funzionamento degli articoli stessi.

4. Garanzia e responsabilità

4.1. PROTIQ garantisce in linea di principio la corrispondenza dei prodotti alle specifiche previste. PROTIQ non garantisce tuttavia che i prodotti soddisfino le esigenze del cliente o che siano adeguati a scopi non specificati. Per il resto si applicano le disposizioni di garanzia previste dalla legislazione in materia.

 

4.2. La responsabilità di PROTIQ si applica esclusivamente in caso di dolo o di grave negligenza. In caso di negligenza di lieve entità la responsabilità è limitata ai danni tipicamente prevedibili in funzione del contratto, fatto salvo il caso in cui si tratti di un danno patrimoniale puro e che non risulti tale da compromettere vita, integrità fisica o salute. La presente limitazione di responsabilità si applica anche alla responsabilità personale dei dipendenti, dei rappresentanti e del personale ausiliario di PROTIQ. Per il resto si applicano le disposizioni sulla responsabilità previste dalla legislazione in materia. 



III. DISPOSIZIONI SPECIALI PER i fornitori


1. Registrazione (account fornitore)

1.1. Dopo aver effettuato la registrazione su PROTIQ Marketplace i fornitori possono realizzare prodotti in stampa e in stampa 3D per i clienti in modo autonomo, a proprio nome e sotto la propria responsabilità. 


1.2. Hanno diritto a effettuare la registrazione come fornitore in linea di principio solo le persone giuridiche (ad es. commercianti, aziende) che dispongano delle competenze specifiche necessarie per le realizzazione di prodotti in stampa e in stampa 3D e che soddisfino eventuali altri prerequisiti (ad es. tecnici) essendo in grado di fornirne attestazione a PROTIQ. PROTIQ è libera di valutare a propria discrezione le competenze specifiche necessarie e di stabilire eventuali ulteriori prerequisiti.

 

1.3. Per la registrazione un fornitore deve creare un account fornitore, eseguire tutti i relativi passaggi di registrazione e attivare il pulsante di registrazione. Fino all’attivazione del pulsante di registrazione il fornitore ha la possibilità di correggere in qualunque momento i dati inseriti. Una volta attivato il pulsante di registrazione, la registrazione del fornitore assume carattere vincolante nei confronti di PROTIQ.

 

1.4. La registrazione del fornitore avviene soltanto nel momento in cui PROTIQ approva il fornitore stesso su PROTIQ Marketplace, attivando le relative funzioni per il fornitore. L’approvazione del fornitore avviene a discrezione di PROTIQ. In particolare non è riconosciuto alcun diritto alla registrazione come fornitore. PROTIQ ha la facoltà di approvare un fornitore in quanto tale a propria discrezione. 


1.5. È fatto obbligo al fornitore di fornire informazioni complete e veritiere, e di rispettare i propri obblighi conseguenti alla registrazione in qualità di fornitore. Inoltre garantisce di avere titolo alla stipula del rispettivo contratto e ad assumere il relativo obbligo di pagamento. Gli è inoltre fatto obbligo di non comunicare a terzi non autorizzati i dati di accesso al proprio account fornitore e di proteggerli dall’accesso non autorizzato da parte di terzi in modo commisurato mediante l’utilizzo di soluzioni allo stato dell’arte della tecnica. 


1.6. È fatto inoltre obbligo al fornitore di fornire le proprie prestazioni offerte in modo vincolante su PROTIQ Marketplace in modo autonomo e all’interno di PROTIQ Marketplace, di mantenere i propri dati e le proprie informazioni obbligatorie complete e veritiere, di offrire le modalità di pagamento e di consegna offerte su PROTIQ Marketplace e di rispettare le disposizioni giuridiche rispettivamente applicabili. 


1.7. Qualora il fornitore applichi, per l’esecuzione dei rapporti contrattuali con i clienti, le proprie condizioni commerciali generali (o documenti simili), le disposizioni in esse contenute non devono contraddire o essere in contrasto con le presenti CCG. Non è fatto alcun obbligo a PROTIQ di verificare o monitorare il rispetto dei suddetti obblighi da parte del fornitore. 


2. Durata e condizioni di pagamento dell’account fornitore 

2.1. La registrazione e l’approvazione di un account fornitore sono soggette a una durata minima di dodici mesi. La durata dell’account fornitore viene prolungata di volta in volta di ulteriori dodici mesi qualora non venga regolarmente presentata da PROTIQ o dal fornitore disdetta con un anticipo di tre mesi rispetto alla scadenza della durata. Il diritto di recesso per giusta causa non è in alcun modo influenzato da quanto precedentemente stabilito. 


2.2. La registrazione come fornitore è inoltre a pagamento. L’onere di pagamento è stabilito in una quota mensile a carico del fornitore e in una provvigione di vendita che verranno fatturate da PROTIQ al fornitore su base mensile. La provvigione di vendita si calcola sulla base del totale della rispettiva voce dovuto dal cliente al fornitore nell’ambito dell’esecuzione di un contratto. L’entità della quota mensile a carico del fornitore e della provvigione di vendita dipende da quanto separatamente concordato tra PROTIQ e il fornitore. PROTIQ ha la facoltà di adeguare la quota mensile a carico del fornitore a ogni prolungamento della durata dell’account fornitore. Qualora l’adeguamento della quota mensile a carico del fornitore concordata risultasse in un aumento superiore al 10%, il fornitore avrà il diritto di disdire l’account fornitore entro un mese dall’aumento. Qualora il fornitore non eserciti la disdetta entro un mese dall’aumento, l’aumento della quota mensile a carico del fornitore si considererà accettato per il periodo di prolungamento della durata. 


3. Garanzia e responsabilità

PROTIQ non garantisce tuttavia che i prodotti soddisfino le esigenze del cliente o che siano adeguati a scopi non specificati. The respective third-party supplier must only use these per-sonal data to perform the service required or the transaction needed, which is commissioned in our order. Service providers which we use for our own purposes, for example within shared ser-vices, shall be obliged by us in writing through corresponding agreements on contract data pro-cessing to comply with the data protection laws, and may not use these data for own purposes.

For the dispatch and as part of the dispatch order, we will transmit your data to the appointed delivery company. The transmission shall only include such data which are necessary for the delivery of the goods. The contracted company may only use your data for this purpose.

When using our online shop, your data may also be passed on to payment service providers as far as this is necessary for processing the payments. Depending on which payment service pro-vider you select in relation with your order, we will pass on the payment data collected for the purpose of processing the payment to the credit institution or the payment service provider commissioned with the payment. In some cases, the selected payment service providers collect these data themselves if you create or have created an account there. In this case, you must register with the payment service provider with your access data during the order procedure. For safety and technical reasons, PROTIQ automatically processes information on its systems transmitted to us by your browser, and which basically includes:

Facelift Cloud
We use Facelift Cloud, a service provided by Facelift Brand Building Technologies GmbH (Gerhofstraße 19, 20354 Hamburg, Germany) to manage our online presence on social media (Facebook, Instagram, LinkedIn and Twitter). Facelift Cloud enables us to publish, promote, manage, monitor and moderate the content of our social media profiles. For this purpose, the social media user IDs of customers and prospects who interact with us on the platforms, as well as the communication history, are stored in a data centre of Facelift Brand Building Technologies GmbH and made available to us for use via the Facelift Cloud software.


Marketing automation with Mautic

We use Mautic on this website, an open source tool for marketing automation. It is an analysis and tracking software for the allocation and storage of usage data (including browser used, last page visited, length of stay). The software uses this information to personalise our marketing efforts and better target the interests of each individual user. The software also helps us to better evaluate the success of individual marketing measures. For this purpose, we have concluded an AV contract with our hoster for the Mautic marketing tool.

We use the open source marketing tool Mautic on our website, which is operated exclusively on servers in Germany. Data is not passed on to third parties. We only collect and process data with Mautic to the extent necessary to achieve our business goals with you.

Mautic's way of working is expressed through:

a) Email marketing and campaigns
With so-called email marketing, personalised emails are sent to you. These are partly based on your usage behaviour on the website, when reading our emails and when interacting with the links contained therein. Furthermore, we also send e-mails as part of campaigns. The allocation to the campaigns is done through segmentation and tagging.

b) Personalised web links
In order to recognise whether, for example, a user calls up a link from an email, Mautic adds a unique identifier to these links, which has previously been assigned to an individual user profile.

c) IP address
The IP address currently used by website visitors is transmitted to us each time our website is accessed. Mautic uses this to recognise users of the website.

d) Reports evaluate the performance data on the collected data and display it in aggregated form.


The data collected in the process are:

• Number of page views and length of stay of the website visitor
• the click path of the respective visitor
• Downloads of files provided via the website
• Landing page visits
• Email openings from newsletters and campaigns


In the context of a registration on the website, the provider collects data through the use of Mautic:

• Contact details (such as name, postal or e-mail address, telephone number)
• Business contact details (such as your job title, the name of a business, business email address, telephone or fax number).
• The IP address of the terminal from which the use of the website takes place (a sequence of digits that identifies your current computer connection on the Internet).


The released data is clearly recognisable to the user by filling out a form. The data required to submit the form is marked.

Mautic is only used if you have expressly given your consent to the use of so-called "first-party cookies" when using our website for the first time. You can revoke this consent at any time by contacting the person named above. In this case, all tracking data collected by means of Mautic will be deleted immediately.



Trusted Shops

Trusted Shops widgets are integrated on this website to display Trusted Shops services (e.g. seal of approval, collected ratings) and to offer Trusted Shops products to shoppers after they have placed an order.

This serves to protect our legitimate interests, which outweigh our interests in the context of a balancing of interests, in optimal marketing by enabling secure shopping in accordance with Art. 6 Para. 1 S. 1 lit. f DSGVO. The trust badge and the services advertised with it are an offer of Trusted Shops GmbH, Subbelrather Str. 15C, 50823 Cologne, Germany, with whom we are jointly responsible for data protection pursuant to Art. 26 DSGVO. Within the framework of this data protection notice, we inform you in the following about the essential contractual contents in accordance with Art. 26 (2) DSGVO.

The trust badge is provided within the scope of joint responsibility by a US-American CDN provider (content delivery network). An appropriate level of data protection is ensured by standard data protection clauses and further contractual measures. Further information on the data protection of Trusted Shops GmbH can be found in their data protection declaration.

When the Trustbadge is called up, the web server automatically saves a so-called server log file, which also contains your IP address, the date and time of the call-up, the amount of data transferred and the requesting provider (access data) and documents the call-up. The IP address is anonymised immediately after collection so that the stored data cannot be assigned to you personally. The anonymised data is used in particular for statistical purposes and for error analysis.

After the order has been completed, your email address, which has been hashed using a cryptological one-way function, is transmitted to Trusted Shops GmbH. The legal basis is Art. 6 para. 1 p. 1 lit. f DSGVO. This serves to check whether you are already registered for services with Trusted Shops GmbH and is therefore necessary for the fulfilment of our and Trusted Shops' overriding legitimate interests in the provision of the buyer protection linked to the specific order in each case and the transactional evaluation services in accordance with Art. 6 (1) sentence 1 lit. f DSGVO. On our websites we use different tools for pseudonymized or anonymized web analyses and to evaluate the success of our marketing measures. The following explanations will give you an overview of tools we use and to what extent. We do not use all tools on all websites.

We have carefully balanced these legitimate interests with your interests and fundamental rights and freedoms as a user. Where we use Google services or tools from other third-party providers, we do not have less restrictive, but equally suitable means to pursue our interests, either because of the international distribution of such tools or because of their standard interfaces to other software systems we use. Within our services, data can be transferred anonymized or pseudonymized to servers in the USA and stored there. From the point of view of the European Union, there is no “adequate level of protection” in the USA for the processing of personal data in line with EU standards. However, our service providers signed the EU standard contractual clauses and are therefore subject to a comparable level of protection, thereby ensuring compliance with European data protection law.

Storage duration of the data:
Data collected and processed for web analysis purposes are stored pursuant to the respective applicable law (max. 14 months) before being deleted or anonymized. The storage duration of cookies for web analyses is 6 months.

Automated decision-making / Profiling:
There will be no automated decision-making or personalized profiling based on your collected data. The pseudonymized collected data will not be assigned to a person.


Google Services


Google Analytics

We use Google Analytics, a service of Google Ireland Limited, Gordon House, Barrow Street, Dublin 4, Ireland ("Google") for web analysis and range measurement. Google uses cookies. The information generated by the cookie about users' visits to our website is generally transmitted to and stored by Google on servers in the United States.

However, Google Analytics is used by us exclusively with activated IP anonymization (so-called IP masking). This means that the IP address of users is shortened by Google. Only in exceptional cases, e.g. if technical failures occur in Europe, the full IP address is transferred to a Google server in the USA and then shortened there. To the best of our knowledge, the IP address transmitted by the user's browser will not be merged with other data of the user held by Google.

Google uses the transmitted data on our behalf and on the basis of a (commissioned) data processing agreement, to evaluate the use of our website, to create reports on the activities within our online offering and to provide us with other services associated with the use of the website. With the help of these analysis results we can, for example, identify particularly popular areas of our website and the preferences of users and use the knowledge gained in this way to further improve our offer and make it more targeted and interesting for you as a user.

With the processing of the data we pursue our legitimate interests in an analysis and statistical evaluation of the use of our website, in the optimization of our online offer and in the provision of content that is as relevant to your interests as possible. We have carefully balanced these legitimate interests with your interests and fundamental rights and freedoms as a user and have come to the conclusion that no consent is required but that data processing is allowed on the basis of our legitimate interests, Art. 6 (1) (f) GDPR.

The determining reason for the use of Google Analytics is the fact that there is no equally suitable web analysis tool for our specific purposes. Google Analytics is not only the most widespread tool in the international context and is therefore particularly suitable for websites of internationally active groups of companies. Due to its wide distribution, Google Analytics - unlike other web analysis tools - also has standard interfaces to other software systems that we use. Furthermore, in your interest we implemented Google Analytics as data protection friendly as possible (in addition to IP masking, e.g. by not processing the user ID for cross-device analysis of visitor flows, by reducing the standard storage period, etc.).

The acceptance of cookies when using our website is not mandatory; if you do not wish cookies to be stored on your device, you can deactivate the corresponding option in the system settings of your browser or in the Cookiebot settings (Cookie Management). Please also note the following: From the point of view of the European Union, there is no "adequate level of protection" for the processing of personal data in the USA that corresponds to EU standards. However, this level of protection can be replaced or established for individual companies by signing the so-called EU standard contractual clauses. Google has signed these clauses and hereby guarantees to comply with the European data protection law.
The data processed by Google Analytics is automatically deleted after a period of max. 13 months. Data whose retention period has been reached is automatically deleted once a month.

Google Analytics 4

Our website uses Google Analytics 4, a newly developed product of Google which is currently in its beta testing phase. The Google Analytics 4 allows us to combine app and web data (such as clicks, page views, apps open, scrolls, outbound clicks, site search, video engagement, file downloads, and more) for unified reporting and analysis across platforms.

Google Ads

For the purpose of optimizing our online offer we use third-party retargeting and remarketing services on our website to help us analyze, improve and operate our online services in an economic way.

Online Advertising (Retargeting/Remarketing) In order to improve our marketing offer, we use retargeting and remarketing services from third parties on our website to analyze, optimize and economically operate our online services.

How Retargeting/Remarketing works On our website, data is collected using a cookie/tracking technology to improve our online offering. This data is not used by us to identify you personally, but solely to evaluate the use of our website and to address and provide users who are already interested in our content and offers with interest-related advertising. We are convinced that the display of an interest-related advertisement is generally more interesting for the user than advertising that has no such personal reference. Google Ads We use the online marketing tool Google Ads, a service of Google Ireland Limited, Gordon House, Barrow Street, Dublin 4, Ireland ("Google"). We use the remarketing function within the Google Ad Service in order to place ads within the Google Advertising Network (e.g. in search results, videos, web pages, etc.) so that they are specifically displayed to users who have a supposed interest in the ads or the products and services advertised. For these purposes, so-called (re)marketing tags (invisible graphics or codes) are integrated and executed on our website and other websites of the Google Advertising Network directly by Google. In this way an individual cookie is stored on the user's device (comparable technologies can also be used instead of cookies), this serves to recognize your browser. Google usually stores information about this cookie, such as which websites the user has visited, what content he is interested in and what offers the user has clicked on, as well as technical information on the browser and operating system, referring websites, visiting times and other information about the use of the online service.

Furthermore, we use the function of Ads Conversion. Using an individual "conversion cookie" we can track how many of our visitors are taking actions on our website resulting from an advertising campaign. The information collected with the help of the cookie is used by

Google to compile conversion statistics for us. However, we only know the anonymous total number of users who clicked on our ad and were directed to a page with a conversion tracking tag. We do not receive any personally identifiable information.

The data processing associated with the services described above is carried out for analysis, optimization and marketing purposes, in particular in order to better measure and evaluate the success of our advertising campaigns and to provide you with offers and content that are as closely aligned with your interests as possible. We have carefully balanced these legitimate interests with your interests, fundamental rights and freedoms as a user and have come to the conclusion that no consent is required, but that data processing is allowed on the basis of our legitimate interests, Art. 6 (1) (f) GDPR. The data processed by Google Ads is deleted after 90 days. The deletion of data whose retention period has been reached takes place automatically once a month. Google Tag Manager For reasons of transparency, we would like to point out that we use the Google Tag Manager on our website. Google Tag Manager is a solution that allows providers of websites to manage website tags through a single interface and in this way to integrate Google services into their offering. The Google Tag Manager itself (which implements the tags) does not collect or process any personal data.

Microsoft Ads

We use Microsoft Ads: a service provided by Microsoft Ireland Operations Limited, The Atrium Building Block B, Carmanhall Road, Sandyford Business Estate, Dublin 18) ("Microsoft"). Microsoft Ads is an advertising platform that allows us to develop campaigns and target users across Microsoft's Search and Audience Network. To this end, Microsoft Ads stores a cookie on your computer if you arrived at our website through a Microsoft ad. This allows Microsoft and us to recognise that someone has clicked on an ad, been redirected to our website and reached a predetermined landing page (conversion page). We only know the total number of users who clicked on an ad and were directed to a conversion page, so we only process aggregate data.

Friendly Captcha

Our website uses the service "Friendly Captcha" (www.friendlycaptcha.com). This service is offered by Friendly Captcha GmbH, Am Anger 3-5, 82237 Wörthsee, Germany. Friendly Captcha is a novel, privacy-friendly protection solution to make it more difficult for automated programs and scripts (so-called "bots") to use our website.

Friendly Captcha processes and stores the following data in the above-mentioned process:

Anonymised IP address of the requesting computer; Information about the browser used, as well as the operating system; Anonymised counter per IP address to control the cryptographic tasks; Website from which the access has taken place.

The data is used exclusively for the protection against spam and bots described above. Friendly Captcha does not set or read any cookies on the visitor's terminal device. IP addresses are only stored in hashed (one-way encrypted) form and do not allow us and Friendly Captcha to draw any conclusions about an individual person. If personal data is collected, it is deleted after 30 days at the latest. Likewise, we reserve the right to use your data for the assertion of or defense against any legal claims. In accordance with applicable law we also reserve the right to store and transfer personal and other data for a specific purpose in order to detect and combat illegal activities, fraudulent attempts or a breach of PROTIQ’s terms of use.

We do not sell, disclose or otherwise make available personal data to third parties for marketing purposes.


Secure communication on the Internet

We make every effort to ensure that your personal data is transferred and stored using technical and organizational measures to prevent access by unauthorized third parties.

As a general rule, the Internet is regarded as an insecure environment. In contrast to a telephone line, for instance, data transfers on the Internet can be more easily wiretapped, recorded or even modified by unauthorized third parties. To ensure the confidentiality of communications with you, we use an AES 256bit SSL/TLS encryption of our website.
