We employ contractors for processing your personal data with whom we have concluded agreements concerning data processing within the scope of the contract which complies with the requirements of German and EU data privacy law. The other recipients to whom your data is sent are affiliated companies of GKN Sinter Metals Engineering GmbH within the meaning of § 15 AktG (German Stock Corporation Act), provided your data is required to fulfil your orders.
The servers on which the data in the platform are hosted are located in Germany. Measurement and evaluation of your user behaviour also takes place via Google Analytics. " Wir ", " uns " und " unser " beziehen sich auf den jeweiligen Verkäufer unter den GKN Sinter Metals Components GmbH, der GKN Sinter Metals Engineering GmbH, der GKN Sinter Metals Filter GmbH, der Radevormwald, der GKN Sinter Metals GmbH, der Radevormwald, der GKN Sinter Metals GmbH, Bad Brückenau, GKN Sinter Metals GmbH, Bad Langensalza oder andere Mitglieder der Gruppe mit Sitz in Deutschland. " Gruppe " bezeichnet GKN plc und alle ihre direkten oder indirekten Tochtergesellschaften. " Schriftlich " oder " schriftlich " umfasst E-Mail, Fax, Briefe oder den elektronischen Datenaustausch gemäß §126b BGB.

Annahme von Bestellungen; Ihre Bedingungen ausgeschlossen; Inspektion

Sie können eine Bestellung auf unserer Plattform generieren und die generierte Bestellung schriftlich, durch elektronischen Datenaustausch oder eine andere mit uns vereinbarte Methode an die GKN Sinter Metals Components GmbH senden. Jede Bestellung, die Sie uns senden, ist ein Angebot zum Kauf unserer Waren und es kommt kein verbindlicher Vertrag zustande, es sei denn, Sie erhalten von uns eine Bestätigung in Textform.
2.2
Wenn Sie uns zusätzliche oder abweichende Bedingungen auferlegen möchten, sind diese nicht Bestandteil des Vertrags und werden durch diese Verkaufsbedingungen ausgeschlossen und abgelehnt.
2.3
Wir werden die Richtigkeit und Vollständigkeit der von Ihnen zur Verfügung gestellten Informationen und Daten, einschließlich Spezifikationen und Zeichnungen, nicht überprüfen. Änderungen, die an ihnen vorgenommen oder vorgeschlagen werden, unterliegen Ihrer Validierung. Sie dürfen uns nicht (i) exportgesteuerte Daten senden, ohne dies vorher mit uns zu vereinbaren, bevor diese Daten übertragen werden, und (ii) Viren / Malware beim Hochladen von Dateien.
2.4
Von uns gegebene Angebote sind für uns nicht bindend.
2.5
Die von einer Bestellung erfassten Waren oder Dienstleistungen gelten innerhalb von 30 Tagen nach Lieferung oder Leistung durch uns als endgültig geprüft und angenommen, es sei denn, Sie geben uns innerhalb dieser 30 Tage eine schriftliche Ablehnung oder Reklamation.
2.6
Sie müssen ein angemessenes System einrichten und aufrechterhalten, um die von uns gelieferten Waren jederzeit zu identifizieren und zurückzuverfolgen, das mit unserem Rückverfolgungssystem kompatibel ist. Wir haften nicht für Kosten im Zusammenhang mit Verstößen gegen diese Klausel.
3.
Garantie und Mängelrüge
3.1
Wenn unsere Waren unser Werk oder Lager verlassen, garantieren wir Ihnen, dass nur die von uns verkauften Waren den vereinbarten Spezifikationen entsprechen. Sie müssen uns innerhalb von zehn (10) Tagen nach Feststellung oder Auftreten eines solchen Mangels eine schriftliche Mitteilung über einen Mangel machen. Die Garantiezeit beträgt ein Jahr ab Lieferdatum. Die Garantie erstreckt sich nicht auf Waren, die nach der Lieferung beschädigt oder einem Unfall, Missbrauch, Missbrauch oder unsachgemäßer Installation oder Wartung ausgesetzt sind, oder auf Waren, die von anderen Personen als uns verändert oder repariert wurden. Die oben genannte Garantiezeit gilt für alle Teile, die defekte Waren ersetzen.
3.2
Wenn wir Dienstleistungen erbringen, werden diese in allen wesentlichen Belangen gemäß der Spezifikation erbracht und mit angemessener Sorgfalt und Sachkenntnis erbracht. Wir übernehmen keine Designverantwortung, sofern nicht schriftlich etwas anderes vereinbart wurde.
3.3
Unsere Verpflichtung bei Verletzung der Garantie in Bezug auf Waren beschränkt sich auf das Ersetzen oder Reparieren (nach unserer Wahl) der bestimmten Waren, deren Inspektion zum Zeitpunkt der Lieferung einen Mangel aufweist, jedoch nicht die Installation, Demontage, Demontage oder Montage. Die Inspektion erfolgt in unserem Werk, die Transportkosten werden von Ihnen im Voraus bezahlt.
3.4
Die schriftliche Genehmigung zur Rücksendung von Waren aufgrund eines Gewährleistungsanspruchs muss zuerst von uns eingeholt werden. Allen Rücksendungen, die auf Ihre Kosten erfolgen, muss eine vollständige schriftliche Erklärung der geltend gemachten Mängel und der Umstände eines Betriebsausfalls beigefügt werden. Das Eigentum an zurückgegebenen Waren geht nach Erhalt auf uns über und wir können nach unserem Ermessen zurückgegebene Waren verschrotten.
4.

Die Preise verstehen sich zuzüglich der Mehrwertsteuer, die Sie gemäß geltendem Recht gegen Erhalt einer entsprechenden Rechnung von uns zu zahlen haben.
5.
Lieferung, Risikopassage, Abnahme
5.1
Wir werden die Lieferung der Ware an den vereinbarten Lieferort und gemäß den im Vertrag festgelegten Lieferbedingungen arrangieren und Sie akzeptieren die Lieferung der Ware. Das Risiko geht auf Sie über, wenn die zu liefernde Ware unser Werk verlassen hat, auch wenn Teillieferungen erfolgen oder wenn wir andere Leistungen wie Versandkosten oder Lieferung und Installation übernommen haben. Wenn eine behördliche Abnahme erforderlich ist, ist dies für den Gefahrübergang maßgeblich. Sie muss unverzüglich am Abnahmetermin oder alternativ nach unserer Mitteilung über die Abnahmebereitschaft erfolgen. Sie dürfen die Annahme wegen eines geringfügigen Mangels nicht verweigern.
5.2
Wir können nur voraussichtliche Liefertermine angeben, und jede Bestellung wird von uns auf der Grundlage angenommen, dass die Zeit nicht wesentlich ist.
6.
Risiko, Eigentum und Sorgfaltspflicht
6.1
Die Ware ist ab dem Zeitpunkt der Lieferung auf Ihr Risiko.
6.2
Alle von uns gelieferten Waren gehören uns weiterhin, bis Sie uns diese vollständig bezahlt haben (zusammen mit etwaiger Mehrwertsteuer). Sie sind verpflichtet, uns das teilweise Eigentum zu übertragen, wenn Sie Waren mit anderen Gegenständen kombinieren. Sie können unsere Waren im Rahmen des normalen Geschäftsbetriebs weiterverkaufen und werden uns alle Ansprüche gegen Ihre Kunden und alle sich aus einem solchen Verkauf ergebenden Sekundärrechte bis zum Zeitpunkt der vollständigen Begleichung aller unserer Ansprüche abtreten. Wir werden die von uns gehaltenen Wertpapiere freigeben, sofern ihr Gesamtwert die gesicherten Forderungen um mehr als 20% übersteigt. Wenn wir Sie bitten, unsere Waren zurückzusenden, erklären Sie sich damit einverstanden, sie uns zur Abholung zur Verfügung zu stellen. Wenn Sie sie nicht auf Anfrage zur Verfügung stellen, stimmen Sie zu, dass wir Ihre Räumlichkeiten betreten können, um sie abzuholen.
6.3
Sie müssen die Waren jederzeit mit angemessener Sorgfalt und in Übereinstimmung mit unseren Anweisungen in Bezug auf Lagerung, Transport, Gesundheit, Sicherheit und Umwelt behandeln und dürfen nichts tun, was die Qualität oder Sicherheit der Waren oder den Ruf unserer Waren beeinträchtigen könnte Marken.
7.
Zahlung
7.1
Sie müssen uns innerhalb der im Vertrag festgelegten Frist vollständig und in frei verfügbaren Mitteln bezahlen, höchstens 30 Tage nach Lieferung der Waren oder Erbringung der Dienstleistungen.
7.2
Sie dürfen die Zahlung aus keinem Grund aussetzen oder durch Aufrechnung abziehen.
8.
Haftungsbeschränkung
8.1
Unsere Haftung für Verluste oder Schäden ist ausgeschlossen, soweit sie über die Bestimmungen in Ziffer 3 hinausgeht. Dies gilt nicht für:
(a) Verluste oder Schäden, die aus Verletzungen von Leben, Körper oder Gesundheit unter Verletzung unserer Pflichten resultieren, oder
(b ) sonstige Verluste oder Schäden aufgrund von:
(aa) einer Pflichtverletzung, deren Erfüllung die ordnungsgemäße Durchführung des Vertrages überhaupt erst ermöglicht und auf deren Erfüllung sich der Kunde regelmäßig berufen kann (Kardinalpflichten), oder (bb) einer Verletzung von sonstige Pflichten, die durch das Verschulden unserer gesetzlichen Vertreter oder leitenden Angestellten durch zumindest grobe Fahrlässigkeit oder durch das Verschulden unserer normalen Mitarbeiter mit Vorsatz verursacht wurden, oder
(c) Haftungspflicht nach dem deutschen Produkthaftungsgesetz sowie sonstige gesetzliche Zwangsbestimmungen, auf die vertraglich nicht wirksam verzichtet werden kann, oder
(d) von uns übernommene Garantien oder von uns böswillig verborgene Mängel.
8.2
Die Haftung für Produktionsausfälle und entgangenen Gewinn ist ausgeschlossen.
8.3
Mit Ausnahme der in Ziffer 8.1 (a), (b) (bb), (c) und (d) genannten Fälle ist unsere Haftung auf vorhersehbare, typischerweise auftretende Verluste beschränkt.
9.
Geistiges Eigentum und Vertraulichkeit
9.1
Alle Rechte an geistigem Eigentum an und in Bezug auf die Waren, die wir Ihnen liefern, deren Herstellung, Entwicklung und Herstellung (einschließlich Verbesserungen) gehören oder bleiben unsere und Sie werden auf unser Verlangen alle Handlungen vornehmen und alle zur Bestätigung erforderlichen Dokumente ausführen solche Rechte.
9.2
Der Preis unserer Waren, unsere Rechte an geistigem Eigentum, alle von uns als vertraulich erachteten Informationen und die Geschäftsbedingungen des Vertrags sowie unsere Geschäftsgeheimnisse sind wirtschaftlich sensibel und vertraulich. Sie müssen sie fünf Jahre lang geheim halten Vertragsende. Sie können diese Informationen offenlegen, wenn dies aufgrund von Gesetzen, Gerichtsbeschlüssen, Vorschriften oder Handlungen einer Regierungsbehörde erforderlich ist (sofern dies gesetzlich zulässig ist). Sie benachrichtigen uns im Voraus und stimmen dem Umfang der Offenlegung zu.
9.3
Wir geben keine Garantie dafür, dass die Waren frei von Rechten Dritter sind und / oder die Rechte Dritter nicht verletzen, sofern wir die Produkte gemäß Informationen oder Anweisungen hergestellt haben (einschließlich, aber nicht beschränkt) zu allen von Ihnen gegebenen Zeichnungen, Entwürfen und Modellen. Sie stellen uns von jeglichen Ansprüchen frei, die auf der Verletzung von Rechten des geistigen Eigentums beruhen, die durch die Einhaltung Ihrer Spezifikationen verursacht werden.
10.
Ausfuhrkontrolle
Bei der Erfüllung der Verpflichtungen aus dem Vertrag müssen wir und Sie alle geltenden Export-, Import- und Sanktionsgesetze, -vorschriften, -bestellungen und -genehmigungen einhalten, die von Zeit zu Zeit geändert werden können und für den Export gelten (einschließlich Wiederausfuhr). oder Import von Waren, Software, Technologie oder technischen Daten („Gegenstände“) oder Dienstleistungen, einschließlich, jedoch nicht beschränkt auf die Exportverwaltungsbestimmungen („EAR“), die internationalen Vorschriften für den Waffenverkehr („ITAR“), Vorschriften und Bestellungen, die von der Amt für die Kontrolle ausländischer Vermögenswerte des Finanzministeriums (zusammen „Export- / Importgesetze“), Außenhandelsrecht (AWG), deutsche Außenhandelsbestimmungen (AWV) und EG-Doppelverwendungsverordnung.
11.
Höhere Gewalt
Wir haften nicht für die Nichteinhaltung unserer Verpflichtungen aus dem Vertrag, wenn dies auf ein Ereignis zurückzuführen ist, das außerhalb unserer angemessenen Kontrolle liegt, einschließlich, ohne Einschränkung, höherer Gewalt, Krieg, Feindseligkeiten, Aufruhr, Feuer, Explosion, Unfall, Überschwemmung, Sabotage, Streik, Bruch von Anlagen oder Ausrüstungen oder Mangel an ausreichendem Kraftstoff, Strom, Rohstoffen, Containern oder Transportmitteln, Verzögerungen bei der Lieferung oder andere Vertragsverletzungen unserer Lieferanten oder wirtschaftliche oder handelspolitische Sanktionen.
12.
Beendigung
12.1
Wir können unbeschadet unserer erworbenen Rechte den gesamten Vertrag oder einen Teil davon kündigen: (i) sofort, wenn Sie mit einem uns geschuldeten Betrag im Rückstand sind oder wenn ein Insolvenzverfahren eingeleitet wird (ii) wenn Sie gegen den Vertrag verstoßen, und Wenn der Verstoß behoben werden kann, können Sie diesen Verstoß nicht innerhalb von 30 Tagen nach Erhalt der Benachrichtigung über den Verstoß beheben oder (iii) wenn die Waren (anscheinend) für einen unmoralischen Zweck verwendet werden, z. B. aber nicht beschränkt auf eine Verwendung zur Begehung eines Verstoßes Verbrechen und / oder für Waffen.
12.2
Die Kündigung des gesamten Vertrags oder eines Teils davon berührt nicht die erworbenen Rechte.
13.
Allgemeines
13.1
Der Vertrag stellt die gesamte Vereinbarung und Vereinbarung zwischen Ihnen und uns in Bezug auf seinen Gegenstand dar und ersetzt alle vorherigen mündlichen oder schriftlichen Vereinbarungen, Absprachen oder Vereinbarungen in Bezug darauf.
13.2
Jede Änderung oder Ergänzung des Vertrags einschließlich dieser Ziffer 12.2 muss schriftlich erfolgen und von uns unterzeichnet werden. Dies gilt auch für den Ausschluss der schriftlichen Formpflicht nach Ziffer 12.2.
13.3
Wenn eine Bestimmung des Vertrags von einem zuständigen Gericht als ganz oder teilweise rechtswidrig, ungültig, nicht durchsetzbar oder unangemessen befunden wird, gilt sie im Ausmaß dieser Rechtswidrigkeit, Ungültigkeit, Nichtdurchsetzbarkeit oder Unangemessenheit als abtrennbar und die übrigen Bestimmungen der Der Vertrag und der Rest dieser Bestimmung bleiben in vollem Umfang in Kraft und wirksam.
13.4
Ein Versäumnis oder eine Verzögerung bei der Durchsetzung einer Bestimmung des Vertrags durch uns bedeutet keinen Verzicht auf unsere Rechte aus dem Vertrag.
13.5
Sie sind nicht berechtigt, Ihre Rechte oder Pflichten aus dem Vertrag ohne unsere vorherige schriftliche Zustimmung zu übertragen. Die Vertragsbedingungen können von Dritten nicht durchgesetzt werden.
13.6
Sie müssen alle geltenden Gesetze, Vorschriften und Codes einhalten, einschließlich derer, die Exportkontrollbeschränkungen betreffen.
14.
Recht und Gerichtsstand
Der Vertrag unterliegt ausschließlich deutschem Recht unter Ausschluss seiner Kollisionsnormen und des Übereinkommens der Vereinten Nationen über Verträge über den internationalen Warenkauf (CISG). Wenn Sie in einem Mitgliedstaat der Europäischen Union, Island, der Schweiz oder Norwegen eingetragen sind oder anderweitig rechtmäßig ansässig sind, sind ausschließlich die Gerichte von Bonn zuständig, um Streitigkeiten oder Ansprüche beizulegen, die sich aus oder im Zusammenhang mit dem Vertrag oder dem Vertrag ergeben seinen Gegenstand („ Ansprüche”). Andernfalls werden Ansprüche in Köln gemäß den Schiedsregeln der Deutschen Schiedsstelle (DIS) ohne Rückgriff auf das ordentliche Gericht durch einen oder mehrere nach diesen Regeln ernannte Schiedsrichter geltend gemacht und endgültig durch ein Schiedsverfahren beigelegt . Die Sprache des Schiedsverfahrens ist Deutsch.

Die Preise beziehen sich auf die angebotene Menge. Bitte beachten Sie, dass sich die Kalkulation der Lieferzeit auf der aktuellen Produktionslage beruht und sich diese kurzfristig ändern kann.
Die Fertigungstoleranzen sind aus technologischen Gründen geometrieabhängig.
Bitte beachten Sie Folgendes:
• Das Ihnen angebotene Bauteil wird allein nach Maßgabe Ihres 3D-Modells gefertigt.
